ACTRP is in the business of assisting companies, large and small, in their search for qualified and otherwise suitable individuals to fill particular and specific roles on an occasional and/or partime basis. By registering with the ACTRP database, you recognize, agree and otherwise acknowledge the following:

INDEMNIFICATION AND WAIVER OF LIABILITY

For and in consideration of the ACTRP's efforts in finding and negotiating employment between you and any talent you select, and in consideration of your payment therefore, you agree to hold the Agency, its agents and employees, harmless for any injury, loss or damage, including damage to property, which may be sustained by any person or entity as a result of your acts or omissions. YOU FURTHER AGREE THAT THE AGENCY, ITS EMPLOYEES AND AGENTS, SHALL NOT BE LIABLE FOR ANY LOSS, INJURY OR DAMAGES SUFFERED BY YOU AS A RESULT OF ANY NEGLIGENT ACTS OR OMISSIONS ON THE PART OF THE AGENCY, ITS EMPLOYEES OR AGENTS.

INDEPENDENT CONTRACTOR

It is expressly agreed and understood that the relationship between any talent and the Agency is that of an independent contractor and not an employee or agent. Nothing contained herein or any actions by either party shall be construed to create the relationship of an employer and employee or principal and agent. It is also expressly agreed and understood that nothing contained herein or any actions by either party shall be construed to create a partnership of any kind between you and ACTRP.

You further understand that, as independent contractors, talent is not entitled to paid sick leave, paid vacation, health insurance or retirement benefits. You also understand and agree that the talent, and not the Agency or you, are responsible for payment of all federal, state and local taxes as well as Medicare withholding, Social Security and unemployment taxes. Additionally, you understand that the Agency has no control over - and is not responsible for - the workplace conditions of any client, nor is the Agency responsible for any violation of federal or state workplace regulation related thereto. Finally, you understand that you are personally responsible for public liability and worker's compensation insurance as it may pertain to you as a buyer or producer.

Should any dispute arise out of this agreement, all parties agree that the laws of Dallas, Dallas County, Texas shall apply and that Dallas, Dallas County, Texas shall be the only appropriate forum for the resolution/litigation of said dispute.
